The Fisher Center for Alzheimer’s Research Foundation (“The Fisher Center” or “we” or “us”) has created an Internet-based information and communication service providing resources related to Alzheimer’s disease, made available at https://www.alzinfo.org or via other websites or means as we may determine from time to time (the “Site”). We offer use of this service to you subject to your acceptance of the terms and conditions set forth in these Terms of Service (the “Agreement”). This Agreement governs your access to and use of the Site. Please read the terms of this Agreement carefully before using the Site. If this Agreement is not acceptable to you, please do not use the Site.

This Agreement is a legally binding agreement between you and The Fisher Center. By clicking or tapping a button or box expressly indicating agreement to these Terms, or by otherwise accessing and using the Site, you acknowledge and agree to this Agreement. If you have not reached the age of legal majority where you live, a parent or legal guardian must review and agree to these Terms on your behalf before you submit content or make a transaction through the Site.

This Agreement hereby incorporates by reference any additional terms and conditions posted by The Fisher Center in connection with the Site or otherwise made available to you by The Fisher Center.

IF YOU ARE AN INDIVIDUAL ACCESSING OR USING THE SITE ON BEHALF OF, OR FOR THE BENEFIT OF, ANY CORPORATION, PARTNERSHIP OR OTHER ENTITY WITH WHICH YOU ARE ASSOCIATED (AN “ORGANIZATION”), THEN YOU ARE AGREEING TO THIS AGREEMENT ON BEHALF OF YOURSELF AND SUCH ORGANIZATION, AND YOU REPRESENT AND WARRANT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND SUCH ORGANIZATION TO THIS AGREEMENT. In such a case, references to “you” and “your” in this Agreement will refer to both the individual using the Site and to any such Organization.

1 Important Disclaimer Information

Your use of the Site is at your own risk. The relationship between you and The Fisher Center is not a physician-patient relationship or other similar relationship. The Site contains information, data, text and other content (“Materials”) compiled from a variety of sources. The Site is provided for your convenience and is intended to broaden consumer understanding and knowledge of Alzheimer’s disease and related health care topics. The Fisher Center does not endorse nor is it responsible for the accuracy or reliability of any Materials. The Materials are not exhaustive and should not be considered complete or up to date. It is your responsibility to evaluate the accuracy, completeness or usefulness of any information, opinion, or other Materials available through the Site. Nothing contained in the Site is intended to be, and must not be taken to be, the practice of law, the practice of medicine, or nursing, or providing of health care advice or instruction for medical diagnosis or treatment.

The Fisher Center does not recommend the self-management of health problems. You should never disregard medical advice or delay in seeking it because of something you have read here. The Fisher Center is not responsible for any injury, death or damage resulting from the use, misuse or interpretation of the Materials.

2 Changes

We may change, modify, or supplement this Agreement from time to time at our sole discretion by notifying you of such changes by any reasonable means, including by posting a revised Agreement through or in connection with the Site. However, no such changes will apply to any dispute between you and us arising before the date on which we posted the revised Agreement incorporating such changes or otherwise notified you of such changes.

Your use of the Site following any changes to this Agreement will constitute your acceptance of such changes. The “Last Updated” legend above indicates when this Agreement was last changed. We may, at any time and without liability, modify or discontinue all or part of the Site (including access to the Site via any third-party links); charge, modify or waive any fees required to use the Site; or offer opportunities to some or all Site users.

3 Privacy Policy

The Fisher Center’s Privacy Policy, located at https://www.alzinfo.org/privacy-policy/ (the “Privacy Policy”), sets forth how The Fisher Center may collect, use, store, and process your personal information and how you may request access to or deletion of your personal information. You acknowledge that you have read and understand the Privacy Policy.

Information submitted for donations, purchases, Memory Wall tributes, guestbook entries, and Resource Locator searches is handled as described in our Privacy Policy. Public Memory Wall content and temporary AI conversations are treated differently, as explained below. Please do not include sensitive personal information in a public posting or chatbot message.

4 Memory Wall and Guestbook

A $150 donation is required to have a Memory Wall tribute created. After making the donation, you submit the information and materials, which may include an obituary, story, and photographs, and Fisher Center staff create the tribute. You must provide accurate information and have the rights and permissions needed to submit the materials for publication.

Visitors may submit guestbook entries by providing a name, email address, and entry. The name and entry may be displayed publicly; the email address collected in the email field is not publicly displayed. Information you include within the entry itself may be public, so do not include private contact details or other sensitive information there.

No visitor account or membership is required. Memory Wall materials and guestbook entries are subject to the public submission provisions below. Any additional terms for a feature will be provided in connection with that feature.

5 Jurisdictional Issues

The Site is controlled or operated (or both) from the United States and is not intended to subject The Fisher Center to any non-U.S. jurisdiction or law. The Site may not be appropriate or available for use in some non-U.S. jurisdictions. Visitors outside the United States may access the Site, subject to Applicable Laws. Any access to or use of the Site and any Output is at your own risk, and you must comply with all applicable federal, state, local, or foreign laws (including common law), codes, statutes, ordinances, rules, regulations, regulatory bulletins, interpretations or guidance or orders, decrees and orders of, official releases or any other requirements by, any governmental authority or agency (“Applicable Laws”) in doing so. We may limit the availability of the Site at any time, in whole or in part, to any person, geographic area or jurisdiction that we choose.

6 Use Restrictions

You agree not to do any of the following:

·       Restrict or inhibit any other visitor from using the Site, including, without limitation, by means of hacking or defacing any portion of the Site.

·       Use the Site for any unlawful purpose.

·       Post, transmit or otherwise make available through or in connection with the Site any materials that are or may be (1) unlawful, threatening, harassing, degrading, abusive, harmful or intimidating, or otherwise fails to respect the rights and dignity of others, or infringes on our or any third party’s intellectual property or other rights; (2) defamatory, libelous, fraudulent or otherwise tortious; (3) any material, non-public information without the authorization to do so; (4) obscene, indecent, pornographic or otherwise objectionable; (5) protected by copyright, trademark, trade secret, right of publicity or privacy or any other proprietary right, without the express prior written consent of the applicable owner; or (6) any advertisements, solicitations, chain letters, pyramid schemes, investment opportunities, or other unsolicited commercial communication (except as otherwise expressly permitted by us).

·       Post, transmit or otherwise make available through or in connection with the Site any virus, worm, Trojan horse, Easter egg, time bomb, spyware or other computer code, file or program that is or is potentially harmful or invasive or intended to damage or hijack the operation of, or to monitor the use of, any hardware, software or equipment (each, a “Virus”).

·       Modify, adapt, sub-license, translate, sell, reverse engineer, decompile or disassemble any portion of the Site.

·       Remove any copyright, trademark, or other proprietary rights notices contained in the Site.

·       Frame or mirror any part of the Site, or otherwise incorporate any portion of the Site into any product or service, without our prior written authorization.

·       Use automated tools to scrape, data mine, or systematically collect Site content without our prior written authorization, except for ordinary public search-engine indexing that respects our published crawler instructions and access restrictions. This exception does not authorize collection of Resource Locator datasets, circumvention of technical protections, or reuse of third-party licensed data.

·       Use the Site to harvest, collect, or store personal data or other information about other users of the Site.

·       Use the Site for any commercial purpose, or for any purpose that is fraudulent or otherwise tortious or unlawful.

·       Interfere with or disrupt the operation of the Site or the servers or networks used to make the Site available, including by hacking or defacing any portion of the Site; or violate any requirement, procedure or policy of such servers or networks.

·       Reproduce, modify, adapt, translate, create derivative works of, sell, rent, lease, loan, timeshare, distribute, or otherwise exploit any portion of (or any use of) the Site except as expressly authorized herein, without The Fisher Center’s express prior written consent.

·       Systematically download and store Site content, except as expressly permitted for public search-engine indexing above.

You may link to publicly accessible pages of the Site without prior written permission, provided the link does not falsely imply endorsement, sponsorship, or affiliation, misrepresent the Site, frame its content, or bypass access restrictions. This permission does not grant a right to copy or republish Site content.

You agree to comply with all applicable laws, rules, and regulations in connection with your use of the Site.

7 Products and Resource Listings

The Site may make available descriptions, images, and links relating to goods and services (collectively, “Products”), including the children’s book “Why Can’t Grandma Remember My Name?”, available for purchase on the Site at https://www.alzinfo.org/book/. All royalties from the children’s book benefit the Fisher Center Foundation in the quest to find a cure. This statement concerns royalties, not the entire purchase price.

Resource Locator listings include data licensed from Data Axle, which The Fisher Center pays to access. Inclusion in the locator does not constitute a recommendation, medical referral, or endorsement of a listed provider. Listings may be incomplete or outdated. Please contact providers directly to confirm their services, qualifications, availability, fees, and suitability for your needs.

We make no representations as to the completeness, accuracy, reliability, validity, or timeliness of third-party listings, descriptions, or images. Product information and availability may change without notice. It is your responsibility to ascertain and obey all Applicable Laws regarding the purchase, possession, and use of any Product.

8 Donations and Transactions

The Site allows you to make donations, including the $150 donation for a Memory Wall tribute, and to purchase the children’s book through the order form at https://www.alzinfo.org/book/ (each, a “Transaction”). The applicable amount, shipping and handling charges for book orders, and any additional transaction terms will be presented in connection with the Transaction. To make a Transaction, you may be asked to provide payment card details, billing information, and, where relevant, shipping information. YOU REPRESENT AND WARRANT THAT YOU HAVE THE RIGHT TO USE ANY PAYMENT METHOD YOU SUBMIT. You agree that the information you provide will be accurate, current, and complete, and that you will pay the charges you authorize. Payment information may be processed by service providers in accordance with the applicable privacy policies. Verification may be required before a Transaction is acknowledged or completed. Products must be used only in a lawful manner.

9 Public Submissions

Obituaries, stories, photographs, guestbook entries, and other materials you submit for publication on the Memory Wall are “Postings.” You retain your ownership rights in your Postings. You grant The Fisher Center a non-exclusive, worldwide, royalty-free license to host, reproduce, format, transmit, and publicly display those Postings as reasonably necessary to create, maintain, and present the Memory Wall and guestbook on the Site. We may permit our service providers to exercise these rights solely to provide those services for us. This permission does not authorize reuse of your Postings in social media, newsletters, or other fundraising or promotional materials; we would seek separate permission for such use.

You represent that you own or have permission to submit the Postings and to grant these rights, including any permissions needed from people depicted in photographs or whose personal information you provide. Publicly displayed Postings may be viewed and copied by others. We do not endorse Postings or guarantee their accuracy.

Postings must comply with the Use Restrictions above. In particular, do not submit threats, harassment, discriminatory abuse, unlawful material, unauthorized copyrighted content, spam, advertisements, impersonations, malicious code, or private contact information about others. We may review, decline, or remove Postings that violate these Terms or are otherwise inappropriate for the Memory Wall. We have no obligation to publish every submission or monitor every entry.

To report an inappropriate entry or request correction or removal of a Posting, contact info@alzinfo.org. We will handle personal information requests as described in our Privacy Policy and applicable law. Removing a Posting from the Site cannot recall copies made independently by others.

10 AI Resource Assistant

The Resource Locator includes an AI-powered resource assistant. You may submit text prompts (“Inputs”) and receive responses generated by artificial intelligence (“Outputs”). Responses may be inaccurate, incomplete, or not applicable to your individual circumstances. This feature is provided for general informational purposes only and is not intended to serve as or replace your physician or other qualified healthcare provider, to render medical advice, to make diagnoses, to administer treatment, or to make referrals for such services.

The Fisher Center’s chat application is stateless. Chat messages are held only in temporary state in your browser and are cleared when you refresh or close the tab. The Fisher Center does not store or log the text of chat messages in an application database or message log. Chat analytics track usage counts, such as the number of messages in a session, and do not include the text or substance of your messages. These statements concern the chat feature, not Memory Wall submissions, guestbook entries, donations, or purchases.

Your Inputs are processed to generate responses, including through the service providers used to operate the AI feature. You authorize The Fisher Center and those providers to process Inputs and Outputs as necessary to provide the requested response. The Fisher Center does not use chat Inputs or Outputs to train AI models. There is no account-based training setting or training toggle. Personal information is handled as described in the Privacy Policy.

As between you and The Fisher Center, you retain any ownership rights you have in your Inputs. Except for rights in the Site and its underlying technology, we do not claim ownership rights in Outputs. Outputs may not be unique, and other users may receive similar responses. You must have the rights needed to submit your Inputs. Please do not submit confidential information, medical records, payment information, or sensitive information about yourself or another person.

YOU ACCEPT AND AGREE THAT ANY USE OF OUTPUTS FROM THE SITE IS AT YOUR SOLE RISK. YOU ARE RESPONSIBLE FOR EVALUATING ANY OUTPUT FOR ACCURACY AND APPROPRIATENESS FOR YOUR USE CASE, INCLUDING BY EMPLOYING HUMAN REVIEW OF OUTPUT WHEN APPROPRIATE, AND YOU SHOULD NOT RELY ON OUTPUT AS A SOLE SOURCE OF TRUTH OR FACTUAL INFORMATION OR AS A SUBSTITUTE FOR PROFESSIONAL ADVICE OR FOR SENSITIVE, HIGH-RISK, OR MISSION-CRITICAL TASKS OR DECISIONS. YOU ACKNOWLEDGE AND AGREE THAT THE SITE MAY PROVIDE OUTPUT THAT MAY BE INCOMPLETE, INCORRECT OR OFFENSIVE, OR THAT DOES NOT REPRESENT THE FISHER CENTER’S VIEWS. YOU MUST NOT USE ANY OUTPUT RELATING TO A PERSON FOR ANY PURPOSE THAT COULD HAVE A LEGAL OR MATERIAL IMPACT ON THAT PERSON, SUCH AS MAKING MEDICAL, LEGAL, EMPLOYMENT, HOUSING, INSURANCE, CREDIT, EDUCATIONAL, OR OTHER IMPORTANT DECISIONS ABOUT THEM. The Site may include filters, safety features, attribution requirements, or other restrictions that you are responsible for complying with. Please take care to review for these options and restrictions when using the Site.

11 Site Operation and Feedback

We may analyze Site usage and review public Postings to operate and protect the Site, enforce these Terms, and address abuse. The chat feature operates as described in the AI Resource Assistant section; it is not a monitored channel for emergencies or medical care. Disclosures of personal information are governed by our Privacy Policy.

If you voluntarily provide suggestions about improving the Site (“Feedback”), you permit us to use those suggestions to operate and improve the Site without compensation to you. Feedback does not include chat Inputs or Outputs or Memory Wall Postings merely because you use those features; those materials are governed by the separate provisions above.

Permission (which may be revoked at any time) is granted to download the Materials for private, non-commercial use only. You may not distribute or transmit the Materials in any form, including, without limitation, electronically or in print, without our prior written permission. You acknowledge that you do not acquire any ownership rights by downloading any Materials from the Site.

All trademarks, service marks, and logos used on the Site are the trademarks, service marks, or logos of the Fisher Center or their respective owners. You may not use our trade names, trademarks, service marks, or logos in connection with any product or service that is not ours, or in any manner that is likely to cause confusion. Nothing contained in the Site should be construed as granting any right to use any trade names, trademarks, service marks, or logos without the express prior written consent of the owner.

Certain Site functionality may make available access to information, products, services, and other materials made available by third parties (“Third Party Materials”) or allow for the routing or transmission of such Third Party Materials, including via links. By using such functionality, you are directing us to access, route, and transmit to you the applicable Third Party Materials.

We neither control nor endorse, nor are we responsible for, any Third Party Materials, including the accuracy, validity, timeliness, completeness, reliability, integrity, quality, legality, usefulness or safety of Third Party Materials, or any intellectual property rights therein. Certain Third Party Materials may, among other things, be inaccurate, misleading, or deceptive. Nothing in this Agreement shall be deemed to be a representation or warranty by The Fisher Center with respect to any Third Party Materials. 15 Limitation of Liability

EXCEPT TO THE EXTENT EXPRESSLY PROHIBITED BY APPLICABLE LAW: (A) NEITHER THE FISHER CENTER NOR THE AFFILIATED ENTITIES WILL BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, EXEMPLARY, OR PUNITIVE DAMAGES OF ANY KIND, UNDER ANY CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHER THEORY, INCLUDING DAMAGES FOR LOSS OF PROFITS, USE OR DATA, LOSS OF OTHER INTANGIBLES, LOSS OF SECURITY OF INPUTS (INCLUDING UNAUTHORIZED INTERCEPTION BY THIRD PARTIES OF ANY INPUTS), EVEN IF ADVISED IN ADVANCE OF THE POSSIBILITY OF SUCH DAMAGES OR LOSSES; (B) WITHOUT LIMITING THE FOREGOING, NEITHER THE FISHER CENTER NOR THE AFFILIATED ENTITIES WILL BE LIABLE FOR DAMAGES OF ANY KIND RESULTING FROM YOUR USE OF OR INABILITY TO USE THE SITE OR FROM ANY PRODUCTS OR THIRD PARTY MATERIALS, INCLUDING FROM ANY VIRUS THAT MAY BE TRANSMITTED IN CONNECTION THEREWITH; (C) YOUR SOLE AND EXCLUSIVE REMEDY FOR DISSATISFACTION WITH THE SITE OR ANY PRODUCTS OR THIRD PARTY MATERIALS IS TO STOP USING THE SITE; AND (D) THE MAXIMUM AGGREGATE LIABILITY OF THE FISHER CENTER OR THE AFFILIATED ENTITIES FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE, SHALL BE THE GREATER OF (I) THE TOTAL AMOUNT, IF ANY, PAID BY YOU TO THE FISHER CENTER TO USE THE SITE, AND (II) $100.00. ALL LIMITATIONS OF LIABILITY OF ANY KIND (INCLUDING IN THIS SECTION AND ELSEWHERE IN THIS AGREEMENT) ARE MADE FOR THE BENEFIT OF BOTH THE FISHER CENTER AND THE AFFILIATED ENTITIES, AND THEIR RESPECTIVE SUCCESSORS AND ASSIGNS.

Because some states and countries do not allow the exclusion or limitation of liability for consequential or incidental damages, the above limitation may not apply to you.

16 Indemnity

To the fullest extent permitted under Applicable Law, you agree to defend, indemnify, and hold harmless The Fisher Center and the Affiliated Entities, and their respective successors and assigns, from and against all claims, liabilities, damages, judgments, awards, losses, costs, expenses, and fees (including attorneys’ fees) arising out of or relating to (a) your use of, or activities in connection with, the Site (including all Inputs and Outputs); (b) any violation or alleged violation of this Agreement by you; or (c) any violation or alleged violation of Applicable Law by you.

17 Termination

We may suspend or terminate your access to the Site, or remove Postings, if your use or submissions violate this Agreement or are otherwise inappropriate for the Site. We also reserve the right to terminate this Agreement, in whole or in part, at any time for any reason or no reason, subject to applicable law. Upon termination or suspension, your right to use the affected Site features ceases. Termination does not require us to retain chat conversations, which are temporary as described above, and does not limit rights or obligations that cannot be excluded under applicable law.

Upon termination of this Agreement, provisions that by their nature are intended to survive, or are necessary to give effect to rights and obligations arising before termination, will survive, including provisions regarding intellectual property, public submissions to the extent necessary for their permitted use, disclaimers, limitations of liability, indemnification, governing law, and dispute resolution.

20 Export Controls

You are responsible for complying with United States export controls and for any violation of such controls, including any United States embargoes or other federal rules and regulations restricting exports. You represent, warrant, and covenant that you are not (a) located in, or a resident or a national of, any country subject to a U.S. government embargo or other restriction, or that has been designated by the U.S. government as a “terrorist supporting” country; or (b) on any of the U.S. government lists of restricted end users.

21 Miscellaneous

This Agreement does not, and shall not be construed to, create any partnership, joint venture, employer-employee, agency, or franchisor-franchisee relationship between you and The Fisher Center. This Agreement, including any terms and conditions incorporated herein, constitutes the entire agreement between you and The Fisher Center relating to the subject matter hereof and governs your use of the Site, superseding any prior or contemporaneous agreements between you and The Fisher Center relating to such subject matter. You may not assign, transfer, or sublicense any or all of your rights or obligations under this Agreement without our express prior written consent. We may assign, transfer or sublicense any or all of our rights or obligations under this Agreement without restriction. This Agreement will be binding upon and will inure to the benefit of the parties, their successors and permitted assigns. The section titles in this Agreement are for convenience only and have no legal or contractual effect.

This Agreement and the relationship between you and The Fisher Center shall be governed by the laws of the State of New York without giving effect to any of its choice of law rules. You and The Fisher Center agree to irrevocably submit to the personal and exclusive jurisdiction of the federal and state courts located within the county of New York in the State of New York, and irrevocably waive the defenses of improper venue or inconvenient forum.

All terms defined in the singular shall have the same meanings when used in the plural, where appropriate and unless otherwise specified. Any use of the term “including” or variations thereof in this Agreement shall be construed as if followed by the phrase “without limitation.”

Notices to you (including notices of changes to this Agreement) may be made via posting to the Site or by e-mail (including in each case via links), or by regular mail. Without limitation, a printed version of this Agreement and of any notice given in electronic form shall be admissible in judicial or administrative proceedings based upon or relating to this Agreement to the same extent and subject to the same conditions as other business documents and records originally generated and maintained in printed form.

The Fisher Center will not be responsible for any failure to fulfill any obligation due to any cause beyond its control. The failure of The Fisher Center to exercise or enforce any right or provision of this Agreement shall not constitute a waiver of such right or provision. If any provision of this Agreement is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of this Agreement remain in full force and effect.
